Terms of user

• the LevUp mobile application,

• the LevUp website (including www.levup.in and ),

• any tools, features, content or services made available through them

(collectively, the “Platform”) by any individual user (“User”, “you”, “your”).

 The Platform is owned and operated by Valiant Fintech Private Limited, a Private Limited Company formed and incorporated under the Companies Act, 2013 (CIN:  U67100MH2021PTC372297) and its present and future affiliates (together, “LevUp”, “we”, “us”, “our”).

 LevUp is a AMFI registered Mutual Fund Distributor as well as APMI registered PMS distributor (herein after referred to as (“ARN/APRN holder” or “Distributor”) and does not operate as a Research Analyst or Investment Adviser or Portfolio Manager or Portfolio Management Services (PMS) provider. AMFI registered Mutual Fund Distributor number is ARN-272609 ; and APMI registered PMS distributor number is APRN00166

By accessing / browsing / using the Platform, or by creating and using an account on LevUp (your “Account”), you acknowledge that:

• you have read and understood these Terms and our Privacy Policy, and

• you agree to be bound by them.

If you do not agree with these Terms or the Privacy Policy, you must not use the Platform, Services, or Account.

LevUp may update or modify these Terms at any time, without prior individual notice. The updated Terms will be effective as soon as they are posted on the Platform, as indicated by the “Last Updated” date above. Your continued use of the Platform after such changes implies acceptance of the revised Terms.

1. Scope of Services

‍

Through the Platform, LevUp may provide, among other things (“Services”):

1. Portfolio Analytics

1. Aggregation and analysis of your existing portfolio using data sourced from:
   
   • MF Central and other mutual fund infrastructure,
   • CAS / other files uploaded by you
   • Brokers, RTAs or other regulated intermediaries (where integrated)
   • and data you enter yourself.
2. Computation and display of metrics such as allocation, diversification, performance bands, risk indicators, behaviour patterns, etc.

2. Mutual Fund Insights & Actionables

1. Analysis of Mutual funds
2. Hypothetical simulations (e.g., “You vs market”, “You vs strategy”).
3. Explanatory commentary on risk, drawdowns, asset mix and other descriptive analytics.

3. Alerts, Notifications & Educational Content

1. In-app messages, emails, SMS or WhatsApp notifications on:
   
   • portfolio analytics,
   • new features and educational content.

4. Communication and Support

1. Responding to queries related to your Account, portfolio analytics, and use of the Platform.

Important:
LevUp only provides analytics-based perspectives.
LevUp does not:

• provide research or investment advisory services;

• take custody of your money or securities;

• execute trades or place orders on your behalf;

• provide personalised investment advice or act as your investment manager;

• guarantee any returns or outcomes.

All insights are based on data available, and may be incomplete, delayed, inaccurate, or outdated. They can lead to outcomes including complete loss of capital if acted upon. You remain solely responsible for your investment decisions.

2. Compliance with Law & User Declarations

By using the Platform, you confirm that:

1. You are a natural person, at least 18 years of age, and capable of entering into a legally binding contract under the Indian Contract Act, 1872.

2. You are a resident of India, using the Platform in compliance with all applicable Indian laws.

3. Any information you submit is true, current, complete and not misleading.

LevUp may:

• rely on information you provide;

• perform verification / validation checks; and

• take steps as necessary to meet regulatory obligations.

You are solely responsible for ensuring that your use of the Platform and Services is lawful in your specific circumstances.

3. Registration & Account

3.1 Account Creation

To use certain features or Services, you must register and create an Account on the Platform. This may involve:

• verifying your mobile number and/or email,

• providing basic profile details, and

• consenting to data access from various sources (MF Central, etc.).

3.2 Eligibility

Registration is currently open only to:

• Individuals who are resident in India; and

• Who meet the legal capacity requirements in Section 2 above.

LevUp may decline or terminate access if:

• the information you provide is found to be false, misleading, or incomplete; or

• we reasonably believe your use may violate applicable law or these Terms.

4. Use of Services & Security

4.1 Login Credentials

Your Account is accessed via authentication methods (e.g., OTP, password, device binding, etc.) (“Login Credentials”).

You are solely responsible for:

• maintaining confidentiality of your Login Credentials,

• restricting access to your devices, and

• promptly notifying LevUp if you suspect unauthorised access or misuse.

LevUp is entitled to treat any instruction or action originating from your Account as authorised by you, unless and until you notify us of compromise and we have had reasonable time to act on it.

4.2 Risks of Online Access

You acknowledge and understand the risks of using online services, including:

• potential unauthorised access due to theft / loss of device or credential leaks,

• phishing, malware, or social engineering attacks,

• hacking of systems not under LevUp’s control.

You agree that:

• you will not hold LevUp responsible for losses directly or indirectly arising from unauthorised access where LevUp has followed your authenticated instructions; and

• you will immediately request account blocking / review if you suspect compromise.

5. Access to Third-Party Accounts & Data

5.1 MF Transaction/ Holdings Data

By using the Platform and giving explicit consent, you authorise LevUp to:

• access your portfolio information from:

• MF Central and similar mutual fund utilities,

• other regulated intermediaries with which we integrate;

• files you upload/you manually enter

• receive and store such data in encrypted / controlled environments; and

• use it solely for providing you Services described in these Terms.

LevUp does not receive or store:

• your broker/bank login credentials,

• trading passwords,

• or any sensitive authentication information used to transact.

5.2 Intra-Group Usage

You consent to LevUp sharing your data within its group entities / affiliates where reasonably necessary to:

• operate the Platform,

• provide and improve the Services,

• comply with legal/regulatory requirements.

Such entities will be bound by appropriate confidentiality and data protection obligations.

6. Customer Communications

By accepting these Terms, you expressly consent to LevUp contacting you at the contact details provided (phone, email, WhatsApp, in-app) for:

• Service and account-related communication,

• Portfolio analytics,

• Alerts, nudges and insights,

• Product or feature announcements,

• Legal and compliance communications.

Modes may include:

• SMS / text messages,

• WhatsApp messages / notifications,

• Emails,

• In-app notifications,

• Phone calls (including by LevUp’s authorised agents / service providers).

You confirm that:

• all contact details shared with LevUp are yours and under your control; and

• you will promptly update LevUp if you change or discontinue any contact details.

You may opt out of promotional communications but may still receive transactional / service messages.

7. Third-Party Links & Services

The Platform may contain links to external websites, apps, tools or services operated by third parties. These are provided for convenience.

You acknowledge that:

• LevUp does not control such third-party services,

• their own terms and privacy policies apply, and

• LevUp is not responsible for their content, data handling, or security practices.

We may also use third-party service providers for KYC, analytics, payments, onboarding, communication, and other operational needs. Your use of such linked services may be additionally governed by their terms.

8. Intellectual Property

All rights, title and interest in and to:

• the Platform,

• software, source code, UI/UX, design, graphics, logos, trademarks,

• reports, analytics, visualisations, insights and other content made available to you

(collectively, the “LevUp Content”) are owned by LevUp or its licensors.

You are granted a limited, revocable, non-transferable, non-sublicensable license to use the Platform and LevUp Content solely for your personal, non-commercial use in accordance with these Terms.

You shall not:

• copy, modify, reproduce, distribute, publish, display, perform or create derivative works based on LevUp Content,

• reverse engineer, decompile or attempt to extract source code from the Platform,

• remove or alter any copyright, trademark or proprietary notices.

If you believe any content on the Platform infringes your intellectual property rights, you may notify us at support@levup.in with relevant details.

9. Investment & Risk Disclaimer

You acknowledge and agree that:

1. LevUp does not:
   
   • provide personalised investment or tax advice;
   • guarantee performance, returns, or outcomes;
   • assess your entire financial situation beyond the data you have shared;
   • provide execution, broking, or portfolio management services.

2. Any information, signals, scores, model strategies, simulations, or comparisons published on or via the Platform:
   
   • are illustrative, education-oriented,
   • may not be complete, accurate or up-to-date at all times,
   • are based on data sources which may themselves have errors, delays or gaps.

3. Decisions to buy, sell, hold, switch, redeem or otherwise transact in securities or mutual funds are entirely your own, made at your own risk and in consultation with your own independent investment advisors (if any).

4. Investments in securities and mutual funds are subject to market risks, including potential loss of the entire capital invested.

LevUp and its group entities shall not be liable for any loss, direct or indirect, arising out of:

• reliance on analytics or content on the Platform;

• market movements, volatility or adverse events;

• errors, omissions, delays or interruptions in data or services.

10. Indemnity

You agree to indemnify and hold harmless LevUp, its directors, employees, affiliates and service partners from and against any claims, losses, liabilities, damages, costs and expenses (including reasonable legal fees) arising out of or related to:

• your breach of these Terms or the Privacy Policy;

• any misrepresentation, inaccuracy, or omission in the information you provide;

• unauthorised or wrongful use of the Platform or Services;

• violation of applicable laws or third-party rights arising from your actions.

LevUp may, at its own cost, participate in the defence and require your cooperation in any matter subject to indemnification.

11. Limitation of Liability

To the maximum extent permitted by law:

1. LevUp, its group entities and service partners shall not be liable for any:
   
   • indirect, incidental, special, consequential or punitive damages,
   • loss of profits, opportunities, or data,
   • business interruption or reputational harm, arising from or related to your use or inability to use the Platform or Services.

2. LevUp shall not be responsible for any loss or damage resulting from:
   
   • delays, failures or rejections at banks, AMCs, AA providers, RTAs, or any external entity;
   • system outages, connectivity issues, device failures, or virus/malware attacks;
   • reliance on any research views, analytics or insights;
   • reduction or loss in the value of your investments.

3. LevUp does not warrant that:
   
   • the Platform will be error-free or uninterrupted;
   • all bugs, defects or vulnerabilities will be resolved;
   • the content is always accurate, complete or current.

Where liability cannot be excluded under law, LevUp’s aggregate liability shall be limited to the fees (if any) paid by you to LevUp in the preceding 6 months for the relevant Service.

12. Arbitration

Any dispute, controversy or claim arising out of or relating to these Terms, the Platform or the Services shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, as amended.

• The arbitral tribunal shall consist of a sole arbitrator appointed by LevUp.

• The seat and venue of arbitration shall be Mumbai, India.

• The language of the arbitration shall be English.

The arbitral award shall be final and binding on the parties.

13. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of laws principles.

Subject to the arbitration clause above, the courts at Mumbai, India shall have exclusive jurisdiction over all matters arising from these Terms or the use of the Platform.

14. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable under applicable law:

• that provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable, and

• the remaining provisions shall continue in full force and effect.

‍

15. Waiver

Any failure or delay by LevUp to exercise any right or remedy under these Terms shall not constitute a waiver of that right or remedy. A waiver on one occasion shall not be construed as a waiver of any right or remedy on any future occasion.

16. Term & Termination

You may request closure of your Account by:

• using the “Delete Account” or equivalent option on the Platform (if available), or

• writing to support@levup.in from your registered email.

LevUp may suspend, restrict or terminate your access to the Platform or Services, in whole or in part, if:

• you breach these Terms, the Privacy Policy, or applicable law;

• you provide information that is false, misleading, or incomplete;

• required by law, regulation or a competent authority;

• LevUp reasonably believes your continued use poses a risk to LevUp or other users.

Upon termination:

• LevUp may retain certain data for as long as necessary to comply with legal / regulatory requirements and internal record-keeping policies.

• You remain responsible for any obligations accrued prior to termination.

17. Notices & Contact

LevUp may send you notices via:

• email to your registered email address,

• SMS / WhatsApp / in-app notifications, or

• general announcements on the Platform.

18. Assignment & Subcontracting

These Terms are for the benefit of LevUp and its successors and assigns. LevUp may:

• assign or transfer its rights or obligations under these Terms, and/or

• delegate or subcontract the performance of any obligations to third parties.

You may not assign, transfer or subcontract your rights or obligations under these Terms without LevUp’s prior written consent.

19. Force Majeure

LevUp shall not be liable for any failure or delay in performance of its obligations caused by events beyond its reasonable control, including but not limited to:

• natural disasters, acts of God,

• war, riots, civil unrest,

• strikes, lockouts or labour disputes,

• breakdown of systems, power failures, telecommunication failures, cyberattacks,

• government actions, lockdowns, regulatory changes.

During such events, LevUp’s obligations shall be suspended to the extent affected.
